Terms of Service

Welcome to Cortex! These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "user"), and Cortex ("we", "us", or "our"), concerning your access to and use of our landing page optimization platform, website, server functions, and Google Chrome Extension, Cortex - AI UX Copilot.

By accessing or using any part of Cortex, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are prohibited from using the platform and must discontinue use immediately.

1. Description of Services

Cortex provides a comprehensive conversion rate optimization (CRO) suite including:

• AI Landing Page Analyzer: Automatic copy, layout, and UX audits powered by our external AI webhooks.
• Performance Audits: Real-time rendering speed, accessibility, best practice, and SEO scoring powered by the Google PageSpeed Insights API.
• Workspace Collaboration & Team Features: Support for role-based accesses (owner, admin, editor, client) inside user-created workspaces.
• Cortex - AI UX Copilot Chrome Extension: An overlay tool providing visual heatmaps, scroll depth visualization, page DOM extraction, and live audits directly inside your active browser view.

We grant you a non-exclusive, non-transferable, revocable license to access and use the platform and extension strictly in accordance with these Terms.

2. Credit-Based System and Billing

Cortex operates using a credit transaction model linked to our tiered service plans (e.g., Free, Starter, Growth, Scale):

• Credit Consumptions: Running website analyses, performance audits, or AI diagnostics consumes credits from your account balance. The cost in credits for each service is clearly displayed prior to starting an analysis.
• Subscription Billing: Monthly or annual subscription fees are processed automatically. Subscriptions renew on a periodic basis unless canceled by the user before the billing cycle date.
• No Refund Policy: Except as required by local consumer protection laws, all credit transactions, top-ups, and subscription charges are strictly non-refundable. If you cancel your membership, you will retain access to your accumulated credits and features until the end of your current paid billing period.

3. User Profiles and Supabase Authentication

To access advanced features, you must sign up for an account. By registerring, you agree to:

• Provide accurate, current, and complete registration information.
• Maintain the absolute confidentiality and security of your Supabase authentication login or connected Google OAuth tokens.
• Accept responsibility for all activities, credit spent, or workspaces edits performed under your user account.

We reserve the right to suspend, terminate, or delete accounts that provide false profile records or engage in credential sharing.

4. Prohibited Platform Activities

You agree not to misuse the Cortex website, server functions, or Chrome extension. Specifically, you must not:

• Submit URLs for analysis containing malware, illegal goods, explicit content, or copyrighted text without permission.
• Initiate automated bots, scripts, or scrapers to overwhelm our API points or bypass credit deductions.
• Decompile, reverse-engineer, or crack code belonging to the web application, workspaces APIs, or our Chrome extension.
• Use Cortex to generate recommendations or audits for competing commercial SaaS landing pages with malicious intent.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Cortex, its founders, team members, or database providers (including Supabase) be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of business profits, data leakage, cost of procurement of substitute services, or system downtime, arising out of or related to your use of our platform or extension.

Our total cumulative liability under these terms shall not exceed the lesser of (a) $100 USD or (b) the actual fees paid by you to Cortex in the preceding three (3) months.

7. Suspension and Termination

We reserve the right, without notice and at our sole discretion, to suspend or terminate your account and disable your license to the Cortex platform and Chrome extension if you breach these Terms, engage in behavior that harms other users, or attempt to defraud our credit billing system.
